If Gulo ceases to list the Service on AWS Marketplace, Gulo will provide Customer with reasonable prior written notice and reasonable transition assistance.
5. Customer Obligations

6.4 Data Residency
Customer Data is processed and stored within the AWS region(s) selected by Customer at the time of deployment. Gulo does not transfer Customer Data outside those regions except as required by applicable law.
7. Fees and Payment
Fees for the Service are set forth in the applicable AWS Marketplace listing and are billed through AWS Marketplace. All fees are non-refundable except as expressly stated in this Agreement or required by applicable law. "Confidential information" does not include information that is publicly known, independently developed, or received from a third party without restriction.

Gulo warrants that: (a) it has the right to grant the licenses herein; (b) the Service will perform materially in accordance with the Documentation under normal use; and (c) Gulo will not knowingly introduce malicious code into the Service.
10.2 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 10.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GULO EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GULO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10.3 Security Findings
The Service is designed to assist in identifying IAM security risks. It does not guarantee the detection of all security vulnerabilities or risks. Customer is solely responsible for evaluating findings and implementing remediation measures.
11. Limitation of Liability
Nothing in this Agreement limits or excludes either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
SUBJECT TO THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- GULO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO GULO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, statute, or otherwise) and shall survive even if any limited remedy fails its essential purpose.
12. Indemnification
Customer shall defend, indemnify, and hold harmless Gulo and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) Customer's use of the Service in violation of this Agreement; (b) Customer Data; or (c) Customer's violation of applicable law.
Gulo shall defend and indemnify Customer against third-party claims alleging that the Service, as provided by Gulo and used in accordance with this Agreement, infringes any Canadian or United States patent, copyright, or trademark. This obligation does not apply where the alleged infringement arises from: (a) Customer's modifications to the Service; (b) Customer's combination of the Service with third-party products or services not approved by Gulo; (c) Customer's use of the Service outside the scope of the Documentation; or (d) Customer's continued use after Gulo has provided a non-infringing alternative. Customer must promptly notify Gulo of the claim and cooperate with Gulo's defence.
13. Term and Termination
13.1 Term
This Agreement begins on the date Customer first accesses the Service and continues for the duration of the Subscription Term as specified in the AWS Marketplace listing, renewing automatically unless cancelled.
13.2 Termination for Cause
Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice thereof.
13.3 Effect of Termination
Upon termination: (a) all licences granted hereunder terminate; (b) Customer shall cease all use of the Service; (c) Gulo will delete or anonymize Customer Data within sixty (60) days, unless otherwise required by law; and (d) all provisions that by their nature should survive will survive, including Sections 6.1, 8, 9, 10.2, 11, and 12.
14. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada for resolution of any dispute. Before initiating any legal proceeding, the parties agree to attempt to resolve disputes in good faith through senior management escalation for a period of thirty (30) days.
15. Export Compliance
Customer represents that it is not located in a country subject to Canadian or United States government embargoes and that it will comply with all applicable export control laws in connection with its use of the Service.
16. General Provisions
- Entire Agreement. This Agreement, together with the Privacy Policy and any applicable Order Form or AWS Marketplace listing, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements.
- Amendments. Gulo may update this Agreement from time to time. Material changes will be communicated via email or notice within the Service at least fourteen (14) days before the effective date of changes. Continued use after the effective date of changes constitutes acceptance.
- Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
- Waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
- Assignment. Customer may not assign this Agreement without Gulo's prior written consent. Gulo may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
- Force Majeure. Neither party is liable for delays caused by circumstances beyond its reasonable control.
